Terms of Service

These Terms of Service ("Terms") govern your access to and use of ScopeIQ, a web-based AI-assisted scoping tool operated by Evoluz Global Solutions ("Evoluz", "we", "us", or "our").

By accessing or using ScopeIQ, you agree to these Terms. If you do not agree, you must not use ScopeIQ.

1. Service Description

ScopeIQ is a web-based scoping tool designed for Zoho implementation partners and business users. It uses AI-assisted workflows to extract structured project scopes, requirements, risks, assumptions, and effort estimates from client briefs and related documents, and to generate professional PDF deliverables such as Scope Reports, Functional Requirement Documents and Technical Requirement Documents.

ScopeIQ is provided as a drafting and productivity tool. It does not replace professional review, project judgment, legal advice, technical validation, or client-specific due diligence.

2. Business Use, Age and Authority

ScopeIQ is intended for business and professional use only.

By using ScopeIQ, you represent and warrant that you are at least 18 years old, or the age of majority in your jurisdiction, and that you have the legal authority to enter into these Terms.

If you use ScopeIQ on behalf of a company, partnership, agency, client, employer, or other organisation, you represent and warrant that you are authorised to bind that organisation to these Terms.

3. Free Access

ScopeIQ is currently provided free of charge.

We may modify, limit, suspend, discontinue, or introduce paid features for ScopeIQ in the future. If we introduce paid plans or paid features, we will notify users before any charges apply. You will not be charged unless you expressly choose to purchase a paid plan or paid feature.

Free access does not include any guaranteed support, uptime commitment, service level commitment, data retention commitment, or obligation to continue providing the service.

4. Acceptable Use

You may use ScopeIQ only for lawful business purposes.

You must not:

(a) upload, submit, or process content that you do not have the right or authority to use;

(b) upload confidential client data, personal data, or third-party materials without proper authorisation;

(c) use ScopeIQ to generate misleading, fraudulent, unlawful, infringing, or harmful documents;

(d) reverse-engineer, scrape, copy, overload, interfere with, or attempt to abuse the service;

(e) attempt to bypass usage limits, security controls, access restrictions, or technical safeguards;

(f) share account credentials, resell access, or make ScopeIQ available to unauthorised third parties;

(g) use ScopeIQ to violate applicable law, third-party rights, confidentiality duties, privacy obligations, or contractual restrictions; or

(h) use ScopeIQ in a way that may harm ScopeIQ, Evoluz Global Solutions, other users, or third parties.

5. Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You must notify us promptly at hello@getscopeiq.com if you suspect unauthorised access, misuse, or compromise of your account.

We are not responsible for losses arising from your failure to secure your account credentials.

6. Customer Content and Permissions

You retain ownership of all briefs, documents, files, prompts, project information, client information, and other materials that you upload, submit, or provide to ScopeIQ ("Customer Content").

You represent and warrant that you have all necessary rights, permissions, authorisations, notices, consents, and lawful bases to upload, submit, and process Customer Content through ScopeIQ.

You are solely responsible for Customer Content and for ensuring that your use of ScopeIQ complies with applicable laws, client obligations, confidentiality duties, data protection requirements, and third-party rights.

You must not upload sensitive personal data, regulated data, children's data, health data, financial account data, government identification documents, passwords, trade secrets, or other high-risk information unless you are legally authorised to do so and have obtained all required permissions.

7. Licence to Process Customer Content

You grant Evoluz Global Solutions a limited, non-exclusive, worldwide licence to host, process, transmit, store, display, and use Customer Content solely as necessary to:

(a) provide, operate, maintain, and secure ScopeIQ;

(b) generate outputs requested by you;

(c) troubleshoot, support, monitor, and improve the service;

(d) prevent abuse, fraud, security incidents, or misuse;

(e) comply with applicable law; and

(f) enforce these Terms.

We do not claim ownership of your Customer Content.

8. Generated Outputs and Intellectual Property

Subject to your compliance with these Terms, you may use the scope analyses, Scope Reports, FRDs, TRDs, estimates, summaries, and other documents generated through ScopeIQ ("Outputs") for your internal business purposes and client-facing project work.

Evoluz Global Solutions retains all rights in ScopeIQ, including the software, workflows, product design, prompts, templates, models, logic, documentation structure, know-how, branding, and underlying technology.

Because ScopeIQ uses automated and AI-assisted systems, similar or identical outputs may be generated for other users. We do not guarantee that any Output is unique, original, complete, accurate, or suitable for a specific client engagement.

You must not represent that Outputs have been independently verified, approved, certified, or endorsed by Evoluz Global Solutions.

We do not use your uploaded client documents, prompts, project briefs, or generated project outputs to train public AI models. Where we use third-party AI service providers, we use commercially reasonable measures to configure those services consistently with this commitment.

9. Confidentiality

We will treat your Customer Content and generated Outputs as confidential.

We will not disclose Customer Content or Outputs except where reasonably necessary to:

(a) provide, operate, maintain, secure, or improve ScopeIQ;

(b) use trusted third-party service providers who support the operation of ScopeIQ;

(c) comply with applicable law, legal process, or government request;

(d) prevent fraud, abuse, security incidents, or technical issues;

(e) protect the rights, safety, property, or security of Evoluz Global Solutions, users, or third parties; or

(f) act with your consent.

You acknowledge that internet-based services involve inherent security and transmission risks, and no system can be guaranteed to be completely secure.

10. Privacy and Data Processing

You are responsible for ensuring that any personal data submitted to ScopeIQ has been collected, shared, and processed lawfully.

Where ScopeIQ processes personal data on your behalf, Evoluz Global Solutions will process such personal data only to provide, maintain, secure, support, and improve ScopeIQ, comply with law, prevent abuse, and enforce these Terms.

You must not upload personal data or confidential third-party data unless you have provided all required notices, obtained all required permissions, and complied with applicable privacy and data protection laws.

For privacy-related requests, users may contact us at hello@getscopeiq.com. Additional privacy terms may be provided through a separate Privacy Policy or Data Processing Addendum where required.

11. AI-Generated Outputs and User Review

ScopeIQ provides AI-assisted project scoping, requirements extraction, risk identification, and effort estimation tools.

Outputs are generated automatically and may contain errors, omissions, assumptions, outdated information, incomplete requirements, inaccurate estimates, duplicated text, or recommendations that are unsuitable for a particular project, client, geography, industry, or use case.

You are solely responsible for reviewing, validating, editing, approving, and using all Outputs before sharing them with clients or relying on them for pricing, delivery planning, contractual scope, technical implementation, project management, or client commitments.

ScopeIQ does not guarantee that any Output will be accurate, complete, legally compliant, technically feasible, commercially suitable, accepted by a client, or appropriate for any specific project.

12. No Professional Advice

ScopeIQ does not provide legal, financial, tax, accounting, engineering, implementation, project management, or other professional advice.

Use of ScopeIQ does not create a consulting, advisory, fiduciary, legal, professional services, or client-service provider relationship between you and Evoluz Global Solutions.

You should obtain appropriate professional advice before relying on Outputs for legal, financial, contractual, technical, or business-critical decisions.

13. Third-Party Services

ScopeIQ may rely on third-party services, software, APIs, infrastructure, hosting providers, AI service providers, storage providers, analytics tools, email tools, and other technology vendors to operate and deliver the service.

We are not responsible for delays, interruptions, outages, processing failures, data transmission failures, security incidents, or service unavailability caused by third-party providers, internet networks, APIs, hosting environments, or systems outside our reasonable control.

We will use commercially reasonable efforts to work with reliable third-party providers, but we do not guarantee that any third-party service will be uninterrupted, error-free, secure, or continuously available.

14. Service Availability and Support

ScopeIQ is provided on an "as is" and "as available" basis.

We aim to maintain reliable access but do not guarantee uninterrupted availability, error-free operation, specific processing times, data retention, continued access to any feature, or compatibility with any particular system, browser, platform, or workflow.

We may modify, suspend, restrict, update, or discontinue ScopeIQ, or any part of it, at any time.

We may provide support at our discretion, but we are not obligated to provide any specific support response time, maintenance commitment, service level, or technical assistance.

You are responsible for keeping your own copies of any important inputs, outputs, reports, FRDs, TRDs, or other documents generated through ScopeIQ.

15. Suspension and Termination

We may suspend, restrict, or terminate your access to ScopeIQ at any time if we reasonably believe that:

(a) you have violated these Terms;

(b) you have abused, misused, overloaded, scraped, reverse-engineered, or attempted to interfere with the service;

(c) your use creates legal, security, privacy, operational, reputational, or commercial risk to ScopeIQ, Evoluz Global Solutions, other users, or third parties;

(d) you have uploaded content that you are not authorised to use or share;

(e) you have used ScopeIQ to generate misleading, fraudulent, unlawful, infringing, or harmful documents; or

(f) your continued access may harm the availability, integrity, security, or reputation of ScopeIQ.

Where reasonable, we may provide notice before suspension or termination. However, we may suspend or terminate access immediately where required to protect ScopeIQ, Evoluz Global Solutions, users, third parties, or the integrity and security of the service.

If ScopeIQ introduces paid features in the future, we may also suspend or terminate access to those paid features for non-payment of applicable fees.

16. Disclaimer of Warranties

To the maximum extent permitted by law, ScopeIQ is provided without warranties of any kind, whether express, implied, statutory, or otherwise.

We do not warrant that ScopeIQ will be uninterrupted, secure, error-free, accurate, complete, suitable for your needs, accepted by your clients, or free from harmful components.

We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

17. Limitation of Liability

To the maximum extent permitted by law, Evoluz Global Solutions will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or loss-of-profit damages, including loss of business, loss of revenue, loss of goodwill, project overruns, inaccurate estimates, failed implementations, client disputes, data loss, or business interruption.

Our total aggregate liability for all claims arising out of or relating to ScopeIQ or these Terms shall not exceed USD 100 or the minimum amount required under applicable law, whichever is higher.

Nothing in these Terms limits liability that cannot be limited under applicable law.

18. Indemnity

You agree to indemnify and hold harmless Evoluz Global Solutions, its affiliates, officers, employees, contractors, service providers, and representatives from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to:

(a) your Customer Content;

(b) your use of ScopeIQ Outputs;

(c) your breach of these Terms;

(d) your violation of applicable law;

(e) your infringement or misuse of third-party intellectual property, confidentiality, privacy, or data protection rights; or

(f) any dispute between you and your client, customer, employer, partner, or end user.

19. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated by email, if you have an account, or through an in-app notice at least 14 days before taking effect, unless immediate changes are required for legal, security, or operational reasons.

Your continued use of ScopeIQ after the updated Terms take effect means you accept the updated Terms.

20. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute, controversy, or claim arising out of or relating to these Terms or ScopeIQ shall first be attempted to be resolved through good-faith discussions for 30 days.

If the dispute is not resolved within that period, it shall be referred to and finally resolved by arbitration seated in Bengaluru, India, conducted in English by a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996.

Subject to the arbitration clause above, the courts at Bengaluru, India shall have exclusive jurisdiction for interim relief, injunctive relief, and enforcement of arbitral awards.
